Procedural: Solicitor's representation.

A company is a legal entity (person) thus it can sue and be sued in its own name. But a company cannot act for itself unless a solicitor is representing it. A director or shareholder cannot represent a company in a legal proceeding. If a person represented himself as the company in a winding up proceeding, for example, the solicitor acting for the petitioner can object his appearance on the ground that he is not a solicitor.
